TERMS OF SERVICE

1. Agreement to Terms

By accessing or using the Goated mobile application and related services (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use the Service.

Goated is operated by AI Agent B.V., a private limited company registered in the Netherlands ("we," "us," or "our"). We reserve the right to modify these Terms at any time. Your continued use of the Service after any changes constitutes acceptance of the new Terms.

2. Eligibility

You must be at least 13 years old (or the minimum age required to consent to online services in your country, if higher) to use the Service. Users under 18 must have parental or legal guardian consent to use the Service and to subscribe to any paid features. By using Goated, you represent and warrant that:

• You meet the age requirements above
• If under 18, you have obtained parental or guardian consent
• You are capable of forming a binding contract (or your parent/guardian is, on your behalf)
• You are not prohibited from using the Service under applicable law
• You will provide accurate and complete registration information

3. Account Registration

To access certain features of the Service, you must create an account. You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized use
• Ensuring your account information remains accurate and up-to-date

4. Use of the Service

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:

• Use the Service in any way that violates applicable laws or regulations
• Attempt to gain unauthorized access to any part of the Service
• Interfere with or disrupt the Service or servers
• Upload malicious code or content
• Impersonate any person or entity
• Use the Service to harass, abuse, or harm others
• Reverse engineer, decompile, or disassemble any part of the Service

5. AI-Powered Features

The Service includes features powered by artificial intelligence ("AI"), including but not limited to natural language food logging, workout plan generation, and nutritional analysis. You understand and agree that:

• AI features are provided "as-is" and may contain errors or inaccuracies
• AI-generated content does not constitute medical, nutritional, or professional advice
• You should not rely solely on AI features for health-related decisions
• AI features may be updated, modified, or discontinued at any time
• You are responsible for verifying any AI-generated information

6. Coach Services

Goated provides a marketplace connecting users with independent fitness coaches. You understand that:

• Coaches are independent contractors, not employees of Goated
• We do not guarantee the quality, safety, or legality of coach services
• Any agreement between you and a coach is solely between you and that coach
• We are not responsible for any disputes between users and coaches
• Coach credentials and certifications should be independently verified

7. Subscription and Payments

Certain features of the Service require a paid auto-renewable subscription. All subscriptions are processed by Apple via the App Store. By subscribing, you agree that:

• Available subscriptions: Premium Monthly ($10.99/month), Premium Semiannual ($41.95 / 6 months), Premium Annual ($65.90/year), Coaching Monthly, and Coaching Quarterly. Prices may vary by country.
• Free trial: Premium subscriptions include a 7-day free trial for new subscribers. The trial converts to a paid subscription unless cancelled at least 24 hours before the trial ends.
• Auto-renewal: Subscriptions automatically renew unless cancelled at least 24 hours before the end of the current period. Your Apple ID account will be charged for renewal within 24 hours prior to the end of the current period at the price of the current subscription tier.
• Cancellation: You can manage and cancel your subscription at any time by going to Settings → [your name] → Subscriptions on your iOS device after purchase. Cancellation takes effect at the end of the current billing period.
• Refunds: Refunds are handled exclusively by Apple in accordance with the Apple Media Services Terms and Conditions. Contact Apple Support to request a refund.
• Price changes: We may change subscription prices with reasonable advance notice. Continued use after a price change constitutes acceptance of the new price.

8. Intellectual Property

The Service and its original content, features, and functionality are owned by AI Agent B.V. and are protected by international copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works without our express written consent.

9. User Content

You retain ownership of any content you submit to the Service. By submitting content, you grant us a non-exclusive, worldwide, royalty-free license to use, store, and process your content for the purpose of providing the Service. You represent that you have all necessary rights to submit such content.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, error-free, secure, or free of viruses or other harmful components.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AI AGENT B.V. SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

12. Indemnification

You agree to indemnify and hold harmless AI Agent B.V., its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising out of your use of the Service, your violation of these Terms, or your violation of any rights of another.

13. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties, or for any other reason at our sole discretion.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Netherlands, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be resolved in the competent courts of Amsterdam, the Netherlands. This does not affect any mandatory consumer rights you may have under the laws of your country of residence.

15. Apple-Specific Terms (App Store)

These Terms are between you and AI Agent B.V., not Apple. Apple is not responsible for the Service or its content. Apple has no obligation to provide maintenance or support services for the Service. Apple is a third-party beneficiary of these Terms and may enforce them against you. To the extent there is a conflict between these Terms and the Apple Media Services Terms and Conditions, the Apple terms shall prevail with respect to your use of the App Store.
